Getting a Workable Contract to Signature Sooner - Part Two

In this continuation of our May 21 ATE session, we will pick up where we left off with the Word Association game to help spot issues that might make a contract unworkable. You probably know the game already: Alice says "dog," to which Bob responds with whatever pops into his mind, such as "cat" and "leash." In this variation of the game, we use the same technique to look at important contract concepts. \r

For example: "Indemnity obligation" might trigger responses of "Control of defense" or "Insurance policy for funding" or "Limitation of indemnity liability." Another example: "Exclusivity" might trigger responses of "Performance requirement" or "Sunset" or "Buy-out."\r

Leading the session again will be D.C. Toedt III, an attorney, arbitrator, and law professor in Houston. (His last name is pronounced "Tate.") D.C. was formerly vice president and general counsel of a publicly-traded software company with some 500 employees and operations in six countries; before that he was a partner and member of the management committee of a 150-lawyer intellectual-property boutique law firm. He is a member of the Texas and California bars and has been active in national- and local bar-association leadership roles for many years.
